Terms of Service

Last updated: 17 oct 2026

These Terms of Service (the "Terms") are an agreement between you and The VIP Hub, operating as The VIP Hub ("The VIP Hub," "we," "us" or "our"), based in Ontario, Canada.

They cover your use of The VIP Hub software at app.theviphub.ca, our websites at theviphub.ca, and the support and services we provide. By creating an account, paying for a plan, or using the platform, you agree to these Terms and our Privacy Policy. If you're agreeing on behalf of a business, you confirm you have authority to bind that business.

If you don't agree, please don't create an account or use the platform.

We may update these Terms from time to time. When we make a material change, we'll email the account owner and post the new date above at least 30 days before it takes effect. If you keep using the platform after that, you accept the updated Terms. If you don't, you can cancel before the change takes effect.

1. Definitions

  • Account: your VIP Hub account and any users you add to it.

  • Platform: The VIP Hub software (CRM, funnels and websites, forms, calendars, email, automations, courses, payments and related tools) and any updates to it.

  • Services: our human support (office hours, 1:1 calls, live chat, email support), onboarding, and any done-for-you or one-off tech work.

  • Your Content: everything you or your users upload, create or send through the Platform, including contact lists, copy, images, videos, courses, emails and messages.

  • Your Contacts: your own leads, clients and audience whose information you store or message through the Platform.

  • Third-Party Services: tools run by other companies that the Platform relies on or connects to, such as email delivery, payment processors, calendar and video apps, domain registrars and AI providers.

2. Who Can Use The VIP Hub

The Platform is for business use. To open an Account you must:

  • be at least 18 years old (or the age of majority where you live, if higher), except for supervised Child's Play users as described in Section 3;

  • use the Platform for your business, trade or profession, not personal or household use (Child's Play learning accounts are the one exception);

  • give us complete, accurate registration and billing details and keep them current; and

  • not be an employee, owner or contractor of a company that offers a competing marketing or CRM platform, or sign up to study, copy or compete with the Platform.

You may not use the Platform if you are located in, or ordinarily resident in, a country subject to Canadian or U.S. sanctions or embargoes, or if you appear on a government restricted-party list.

3. Your Account

Ownership. The person who accepts these Terms owns the Account, unless they sign up on behalf of a business, in which case the business owns it. If there's a dispute about who owns an Account, we may ask for documents (who has paid for it, who created it, business registration papers, a court order). Our decision is final, and we may pause the Account until the people involved agree in writing or a court decides.

Logins and security. You're responsible for everything that happens under your Account and logins. Keep passwords private, turn on two-factor authentication, give team members their own logins, and tell us right away at [support email] if you think someone has accessed your Account without permission. We aren't responsible for losses caused by not following these security steps.

Our access. You allow us to access your Account to give you support, build what you've asked us to build, keep the Platform secure, and enforce these Terms. When we work inside your Account during a support call or done-for-you project, we act on your instructions.

No transfers. You can't sell, transfer or share your Account without our written consent.

Additional business accounts. If you own and run more than one business, we can set up to 3 additional accounts for them at no extra subscription cost.

  • Each additional account must be for a business you own or co-own and actively manage. It can't be for a client, friend, family member, employer, or anyone else's business, and you can't build or run it for someone else.

  • We may ask for proof that you own the business (such as a business registration, website, or payment records). If an account doesn't qualify, we may close it or move it to a paid plan after giving you notice.

  • Additional accounts can't be sold, rented, transferred, or given to anyone else. They close when your main Account closes.

  • Each additional account follows these Terms. Usage charges apply to each account and a Credit Card must be on file for each account.

  • More than 3 additional accounts are available at $27/mo. Please contact [email protected] to request extra sub-accounts.

Child's Play accounts. If you have children who want to learn how to build inside the Platform, we can create a free Child's Play learning account at your request.

  • You, the parent or legal guardian, are the account holder. You must be 18 or older, ask for the account yourself, and accept these Terms on your child's behalf.

  • Your child may use the account only under your active supervision and guidance. You're responsible for everything done in it.

  • It's for learning only. No real marketing, no messages to people outside your household, no selling or taking payments, no phone numbers, and no publishing to the public. We may switch off email, texting, calling, payments, AI and other features in these accounts.

  • Use practice data. Don't enter real personal information about your child or anyone else, beyond what's needed to set up the login (such as a first name).

  • We collect only the information needed to set up the account, with your consent, and you can ask us to delete it at any time.

  • We may close a Child's Play account at any time, and it closes when your main Account closes.

4. The Platform

Licence. While your Account is active and paid, we give you a limited, non-exclusive, non-transferable right to use the Platform for your own business, under these Terms. You don't get ownership of the Platform or any of its code.

Built on licensed technology. The VIP Hub is powered in part by software we license from third parties and branded as our own. Those providers can change or retire features, and we may add, change or remove features at any time. Your subscription is for the Platform as it is today, not for any future feature we've mentioned.

Fair use. Any plan or feature described as "unlimited" is subject to fair use. If your usage is excessive, abusive, or slows the Platform for others, we may ask you to reduce it, move you to a suitable plan, throttle it, or pause it.

Availability. We work to keep the Platform running, but we don't guarantee it will be uninterrupted or error-free. Planned maintenance, provider outages and internet issues can cause downtime.

Trials. Free trials last 14 days and are limited to one per person and business. We may end a trial early, and we may close Accounts that open repeated trials to avoid paying.

5. The Human Support

Hands-on support is a core part of The VIP Hub. Depending on your plan, it may include live office hours, 1:1 setup and support calls, live chat, email support, onboarding (domain, email authentication, calendar and video, payments and social connections), and how-to videos.

  • Support is offered during the hours we publish, in Eastern Time, and excludes statutory holidays in Ontario unless we say otherwise.

  • Response times we share are goals, not guarantees.

  • Calls may be limited in length (for example, 30 minutes) and are booked through our scheduler. Missed calls without notice may count as used.

  • Support covers how to use the Platform. It doesn't include legal, tax, accounting, or compliance advice, and it isn't a promise of business results.

  • When we set something up for you or with you, you're responsible for reviewing it, testing it, and approving it before you use it with your Contacts.

  • We may record support calls for quality and training. We'll tell you at the start of a call if it's being recorded.

  • Please treat our team with respect. We may limit or end support for anyone who is abusive or harassing.

6. Done-for-you and one-off projects

Ongoing done-for-you tech. Plans that include ongoing tech work (for example, an annual or monthly done-for-you plan) cover the work described on the plan's sales page, within the Platform, for one business. Requests are worked on in the order received, one active request at a time unless we agree otherwise. It doesn't cover copywriting, graphic design, paid advertising, custom software outside the Platform, or work for other businesses, unless agreed in writing.

One-off projects. You can email us a one-off project. We'll reply with what we need from you, a quote or invoice, and instructions. Our turnaround time (for example, 1 business day) starts only once the invoice is paid and we have everything we asked for.

For all project work:

  • Changes beyond the agreed scope may be quoted separately.

  • You confirm you have the rights to everything you send us (logos, images, copy, lists).

  • Once delivered, the work is yours to use within your business (see Section 14). Templates, systems and know-how we reuse across clients stay ours.

  • If you don't respond to a request for materials or approval for 30 days, we may close the project. Fees paid for completed work aren't refunded.

7. Fees and billing

Prices. Prices are shown on our website or your order form, in USD (you can request a different currency by email us at [email protected]) and are charged in advance each billing cycle (monthly or annually) until you cancel.

Automatic renewal. Your subscription renews automatically at the end of each billing cycle, and we charge your payment method on file at the then-current price without asking again.

What's included. Email sending through the Platform is included in your plan, within the fair-use limits in Section 9. SMS, MMS, phone calls, phone numbers and other ai and premium usage-based features are billed separately at the rates shown in your Account, drawn from a prepaid balance that tops up automatically when it falls below $3.

Taxes. Prices don't include sales taxes. You're responsible for any taxes on your own sales to your Contacts.

Failed payments. If a payment fails, we'll retry it and email you. If it's still unpaid after 14 days, we may limit or pause your Account until it's paid. If it's unpaid after 30 days, we may cancel your Account. You agree to pay any amounts owing.

Billing questions. If you think a charge is wrong, email us within 30 days of the charge and we'll work it out with you in good faith. Please contact us before filing a chargeback; a chargeback opened without contacting us first may lead to your Account being paused.

8. Cancellation and refunds

Cancelling. You can cancel any time by clicking on Settings (bottom left) and clicking on Billing. Cancellation takes effect at the end of your current billing cycle, and you keep access until then. Fees you've already been charged for that cycle aren't refunded.

Refunds. All fees are non-refundable, including for partial months, unused time on annual plans, and unused features.

Prepaid balance. If your Account has a prepaid usage balance when you cancel, email us within 30 days to request a refund of the unused amount. Promotional credits have no cash value.

Before you go. Export your contacts and content before your Account closes. After cancellation, we keep your Account data for up to 90 days so you can reactivate. After that it may be permanently deleted, and we can't recover it.

Your legal rights. Nothing in these Terms takes away rights you have under consumer protection laws that can't be waived by contract.

9. Email sending

We cover the cost of email sending for you. Emails from the Platform are delivered through a third-party email provider we choose (currently Mailgun), which means your sending affects our reputation and every other VIP Hub client's deliverability. So:

  • Fair use. Your plan includes up to 200 000 emails per month. If you regularly go over it, we'll talk with you about a plan or add-on that fits, or we may limit sending.

  • Authenticated domain. You must send from a domain you own, set up with the SPF, DKIM and DMARC records we help you configure. You may not send from free addresses (like Gmail or Yahoo) or from a domain you don't control.

  • Permission-based lists only. You may email only people who have given you valid consent. No purchased, rented, scraped or borrowed lists, and no lists from giveaways or bundles unless subscribers clearly agreed to hear from you.

  • Healthy sending. Keep complaint (spam report) rates below 0.3% and bounce rates below 5%, remove bounced and unsubscribed contacts, and warm up new lists gradually.

  • Provider rules. Your sending must also follow our email provider's acceptable use policy, which may change over time.

  • Our right to pause. To protect deliverability for everyone, we may review, hold, rate-limit or pause your email sending without notice if we see high bounces or complaints, a blocklisting, suspected spam or phishing, or a request from our provider. We'll tell you what happened and help you fix it. Repeated or serious problems may lead to suspension of your Account.

  • No guarantee of inbox placement. Delivery depends on receiving servers and your list quality. We don't guarantee that any email will be delivered, opened, or land in the inbox.

10. Texts, calls and your marketing compliance

You are the sender of every email, text, call, voicemail and message you or your automations send through the Platform. We provide the tools; you decide what's sent, to whom, and when. That makes you responsible for following every law that applies to your messages, including:

  • Canada's Anti-Spam Legislation (CASL): have express or valid implied consent before sending commercial electronic messages; identify your business; include your mailing address and a working unsubscribe link in every message; and honour unsubscribes within 10 business days.

  • CRTC Unsolicited Telecommunications Rules and the National Do Not Call List for calls and texts to Canadians.

  • U.S. laws, if you message people in the U.S.: the CAN-SPAM Act, the Telephone Consumer Protection Act (TCPA), the Telemarketing Sales Rule, state telemarketing and "mini-TCPA" laws, and Do Not Call rules.

  • Carrier rules, including A2P 10DLC registration for business texting to U.S. numbers. Texting may not work until your registration is approved, and we don't control the carriers' timelines or decisions.

  • Privacy laws that apply to your Contacts (see Section 12), including GDPR if you market to people in Europe.

You confirm that you have, and will keep records of, the consent you need for every Contact you message. Compliance features in the Platform (like unsubscribe links or quiet hours) are there to help, but they aren't legal advice and don't guarantee compliance. If you're unsure what applies to you, please talk to a lawyer.

If a regulator, carrier, or provider asks us about messages sent from your Account, you agree to cooperate and give us the information we need, including your consent records.

11. Your responsibilities and acceptable use

Your business, your rules. You're responsible for your business and how you use the Platform with your Contacts, including your own terms of service, privacy policy, refund policy, and the products and services you sell. Any sale through the Platform is between you and your customer. We aren't the seller and don't handle your customers' refunds or disputes.

Your legal compliance. You're responsible for following the laws that apply to your business, including privacy, marketing, consumer protection, tax, and accessibility laws (such as the Accessibility for Ontarians with Disabilities Act, where it applies to the pages and content you publish).

Your team. You're responsible for anyone you give access to your Account, and you'll make sure they follow these Terms.

You may not use the Platform to:

  • break any law or anyone's rights, including privacy and intellectual property rights;

  • send spam, phishing, malware, or deceptive or misleading messages;

  • impersonate any person or business, or present AI output as written or spoken by a human when it isn't;

  • harass, threaten, exploit or harm anyone, or publish hateful, violent or sexually explicit content;

  • create or share any content that sexualizes minors;

  • sell or promote illegal or high-risk goods and services, including gambling, payday lending, crypto-mining schemes, weapons, or illegal drugs;

  • offer legal, medical, financial or tax advice that you aren't licensed to give;

  • post fake reviews or testimonials, or run disinformation or fake grassroots campaigns;

  • reverse engineer, copy, resell, or build a competing product from the Platform, or remove our notices or branding;

  • hack, probe, overload, scrape, or interfere with the Platform or other users, or use bots to access it; or

  • give access to the Platform to a competitor.

We may remove content or pause features that break these rules, and we may suspend your Account (see Section 19).

12. Privacy and data

Our Privacy Policy. How we collect, use and protect personal information about you is explained in our Privacy Policy, which follows Canada's Personal Information Protection and Electronic Documents Act (PIPEDA).

Your Contacts' data. You control the personal information you collect about your Contacts. We process it on your behalf, only to provide the Platform and Services, and we don't sell it. You confirm that you've given your Contacts proper privacy notices and have their consent (where required) to store their information in the Platform and to share it with the service providers that run it.

Where data is stored. The Platform and its providers may store and process data outside Canada, including in the United States. Data stored abroad may be accessible to courts, law enforcement and national security authorities in those countries.

Sensitive information. Don't store health information, government ID numbers, full payment card numbers, or similar sensitive data in the Platform unless we've agreed in writing to a setup that supports it. Payments should go through the connected payment processor, never into notes or form fields.

Requests from your Contacts. You're responsible for responding to your Contacts' requests to access, correct or delete their information. If we receive one, we'll pass it to you.

Security incidents. We use reasonable safeguards, but no system is completely secure. If we learn of a breach affecting your Account data, we'll tell you without undue delay. You're responsible for any notices you're legally required to give your Contacts or regulators.

Backups and deletion. You're responsible for keeping your own copies of important content and lists. We aren't responsible for data that's lost, deleted, or not stored. Set your own retention practices and delete Contact data you no longer need.

Usage data. We may use anonymous, aggregated information about how the Platform is used to run and improve it.

13. AI features

The Platform includes AI tools (for example, content writing, chatbots, and AI voice agents), powered by third-party AI providers.

  • AI output can be wrong, incomplete or out of date. Review and edit everything before you publish or send it. You're responsible for how you use it.

  • AI output isn't legal, medical, financial or tax advice.

  • Tell your Contacts when they're talking to an AI chatbot or AI voice agent.

  • Don't enter sensitive personal information or confidential client information into AI tools. Inputs may be processed by third-party AI providers under their own terms.

  • Don't use AI features to make automated decisions with legal or similarly significant effects on people (like credit, employment or housing decisions), to discriminate, or to infringe anyone's rights.

  • Only use AI features where they're lawful in your location.

14. Intellectual property

Your Content is yours. You keep ownership of Your Content. You give us permission to host, copy, process, display and transmit it only as needed to run the Platform, provide the Services, and meet our legal obligations. You confirm you have the rights to everything you upload and send.

The Platform is ours (and our licensors'). The Platform, our websites, The VIP Hub name and logo, our training, how-to videos, and our templates are owned by us or our licensors and protected by copyright and trademark law. You may not use our name or logo without our written permission.

Templates and snapshots. Templates, funnels, automations, email sequences or account setups we provide or install for you are licensed to you for use in your own business, inside the Platform. You may customize them, but you may not resell, give away, or share them as templates for others.

Done-for-you work. Pages, emails and automations we build for your business are yours to use once paid for. We keep the right to reuse the general structure, methods and know-how behind them (never your branding, copy, or data).

Feedback. If you share ideas or suggestions, we can use them freely without owing you anything.

Copyright complaints. If you believe content in the Platform infringes your copyright, email [support email] with details of the work, where it appears, and your contact information. We may remove content and suspend repeat infringers.

15. Third-party services

The Platform relies on and connects with Third-Party Services, including our software and email delivery providers, payment processors (such as Stripe or PayPal), calendar and video tools, social platforms, domain registrars, and AI providers.

  • When you connect a Third-Party Service, you authorize us to share the data needed to make that connection work.

  • Your use of a Third-Party Service is governed by that provider's own terms and privacy policy, which you're responsible for following. For example, your payment processor decides whether to approve your merchant account and when to pay you out.

  • We don't control Third-Party Services and aren't responsible for their outages, chThe Platform relies on and connects with Third-Party Services, including our software and email delivery providers, payment processors (such as Stripe or PayPal), calendar and video tools, social platforms, domain registrars, and AI providers.anges, fees, decisions, or how they handle data. If a provider changes or ends an integration, that feature may stop working.

16. Domains and phone numbers

Domains. We recommend you register your domain with a registrar in your own name and connect it to the Platform. If you buy a domain through the Platform, it may be registered and renewed through our provider, may auto-renew at the current rate, and must use the provider's nameservers while it stays there. You can request a transfer out, subject to registrar rules and any waiting periods. We aren't responsible for email, website or other service interruptions caused by domain or DNS changes.

Phone numbers. Phone numbers obtained through the Platform are provided for your use while your Account is active. If your Account is cancelled or terminated, those numbers may be released within 14 days and can't be recovered. A number you ported in from another provider stays yours: request a port-out before you cancel, and we'll help release it to you.

17. Disclaimers

We'll provide the Services with reasonable care and skill. Otherwise, to the extent the law allows, the Platform and Services are provided "as is" and "as available," without warranties or conditions of any kind, including merchantability, fitness for a particular purpose, and non-infringement.

We don't promise that the Platform will meet every need, be uninterrupted or error-free, or deliver any particular result. Using The VIP Hub doesn't guarantee leads, sales, revenue or profit. Your results depend on your business, your offer, and your work.

18. Limitation of liability and indemnity

Cap. To the extent the law allows, our total liability for all claims relating to these Terms, the Platform, or the Services is limited to the fees you paid us in the 3 months before the event that gave rise to the claim.

Excluded damages. To the extent the law allows, we aren't liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data, goodwill, or business opportunities, even if we were told they were possible. We also aren't liable for Third-Party Services, or for messages, content or sales made through your Account.

What these limits don't cover. These limits don't apply to liability that can't legally be limited, such as for fraud.

Your indemnity. You'll defend and compensate us (including reasonable legal fees) for claims, fines and losses that come from: Your Content; messages sent from your Account; your breach of these Terms or the law (including CASL, telemarketing, privacy and tax laws); your products, services and dealings with your Contacts; or disputes between you and your customers or team.

19. Suspension and termination

By you. You can cancel at any time as described in Section 8.

By us. We may suspend or end your Account, or any feature, if you break these Terms, don't pay, put the Platform or other clients at risk (for example, through spam or a security issue), are asked to by a provider, carrier or authority, or engage in fraudulent or illegal activity. Where it's reasonable, we'll warn you first and give you a chance to fix the problem. We may also end our relationship for any reason with 30 days' notice, and if we do, we'll refund any prepaid fees for the unused time.

Inactive Accounts. We may close free or trial Accounts that have been inactive for 90 days.

After termination. Your access ends, phone numbers may be released (Section 16), and your data may be deleted after 90 days (Section 8). Sections that by their nature should survive (including fees owed, intellectual property, disclaimers, liability, indemnity and disputes) continue to apply.

20. Governing law and disputes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there.

If a dispute comes up, please email us first. We'll both try in good faith to resolve it within 30 days. If we can't, either of us may take it to the courts of Ontario, sitting in [city], and we both accept their jurisdiction.

To the extent the law allows, any claim relating to these Terms must be started within [1 year] after the event giving rise to it.

21. General

  • Entire agreement. These Terms, our Privacy Policy, and any order form or written agreement we sign with you make up the whole agreement between us. If a signed agreement conflicts with these Terms, the signed agreement wins.

  • Severability. If part of these Terms is found unenforceable, the rest stays in effect.

  • No waiver. If we don't enforce a right right away, we haven't given it up.

  • Assignment. We may transfer these Terms to a buyer or successor of our business. You may not transfer them without our written consent.

  • Events beyond our control. We aren't responsible for delays or failures caused by events outside our reasonable control, such as outages at our providers, internet failures, natural disasters, or government action.

  • Relationship. We're independent businesses. Nothing here creates a partnership, employment or agency relationship.

  • Notices. We'll send notices to the email address on your Account. You can send notices to [email protected]

  • Language. These Terms are written in English, and the English version governs.
